Welcome to CHECK-IN-APP IO LLC ("we," "us," "our"). By accessing or using our software-as-a-service platform ("Service"), you ("you" or "User") agree to comply with and be bound by the following Terms of Use ("Terms"). If you do not agree to these Terms, please do not access or use the Service.\
1. Acceptance of Terms
By using the Service, you agree to these Terms, which may be updated or amended at any time. Any changes to these Terms will be posted on this page with an updated "Effective Date." For material changes — including changes to fees, data handling practices, or dispute resolution terms — we will make reasonable efforts to notify you via email to the address associated with your account. It is your responsibility to review these Terms periodically. Continued use of the Service after such changes constitutes your acceptance of the revised Terms.
2. Nature of the Service
CHECK-IN-APP IO LLC provides a notification-trigger platform that alerts licensed professionals when their clients arrive for appointments. The Service operates as follows:
A client scans a QR code or sends an SMS upon arrival at a provider's location. The provider receives an automated text notification confirming the arrival time and date. No patient or end-user personal information is collected, stored, or processed by CHECK-IN-APP IO LLC at any point. The Service does not collect, transmit, or retain any Protected Health Information (PHI) as defined under HIPAA.
The Service is designed exclusively for use by licensed professionals in private practice settings, including but not limited to therapists, counselors, psychologists, and similar practitioners.
3. User Registration and Account
To access the Service, you must create a provider account. You agree to provide accurate, complete, and up-to-date information during registration, maintain the confidentiality of your account credentials, and notify us immediately of any unauthorized use or security breach of your account. You are responsible for all activities conducted under your account.
4. Use of the Service
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes as a licensed professional. You agree not to use the Service for any illegal, fraudulent, or unauthorized purposes; distribute, sell, lease, or sublicense the Service; reverse-engineer, decompile, or disassemble the Service; interfere with or disrupt the operation of the Service; or attempt to use the Service to collect or process patient personal or health information.
5. Third-Party Services
The Service uses Twilio, Inc. as a third-party SMS delivery provider to route notification messages. By using the Service, you acknowledge that outbound notification messages are transmitted through Twilio's infrastructure. Twilio maintains its own security and compliance certifications. CHECK-IN-APP IO LLC does not share any provider or patient data with Twilio beyond what is technically necessary to deliver the notification message.
The Service also utilizes Amazon Web Services (AWS) for infrastructure and backup purposes. CHECK-IN-APP IO LLC has executed a Business Associate Agreement (BAA) with AWS in accordance with applicable data protection requirements. AWS maintains industry-leading security certifications and compliance standards.
We are not responsible for the availability, performance, or data practices of third-party service providers.
6. Provider Account Data and Privacy
In the course of providing the Service, we may collect and store limited provider account information, including your name, business name, email address, and phone number ("Account Data"). We use Account Data solely to administer your account and deliver the Service. We do not sell, rent, or share your Account Data with third parties for marketing purposes.
As a California business, we comply with the California Consumer Privacy Act (CCPA). You have the right to know what personal information we have collected about you, request deletion of your personal information, and opt out of the sale of your personal information (we do not sell personal information). 7. Data Breach Notification
In the unlikely event of a security breach affecting your Account Data, we will notify you in accordance with California Civil Code section 1798.29 and applicable law. Notification will be provided via email to the address associated with your account as promptly as reasonably possible following discovery of the breach.
8. Fees and Payment
Use of the Service requires a subscription. By subscribing, you agree to pay the applicable fees. All payments are non-refundable except as expressly stated in these Terms. We may change subscription fees at any time with reasonable advance notice to you.
9. Service Availability
We strive to provide uninterrupted access to the Service but do not guarantee availability at all times. We reserve the right to suspend or discontinue the Service or any part of it at any time. We will make reasonable efforts to provide advance notice of planned downtime.
10. Intellectual Property
The Service, including all content, features, and functionality, is owned by CHECK-IN-APP IO LLC or our licensors and is protected by copyright, trademark, and other intellectual property laws. You may not use, copy, or modify the Service except as expressly permitted in these Terms.
11. Indemnity
You agree to indemnify, defend, and hold harmless CHECK-IN-APP IO LLC, its officers, employees, contractors, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your infringement of any third-party rights; or (d) your use of the Service in a manner inconsistent with its intended purpose as described herein.
12. Limitation of Liability
To the fullest extent permitted by law, CHECK-IN-APP IO LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use or inability to use the Service, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising out of these Terms or the use of the Service shall not exceed the total amount you paid for the Service in the twelve (12) months preceding the claim.
13. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property rights, indemnity, limitation of liability, and governing law.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms shall be resolved through binding arbitration in Orange County, California, except that we may seek injunctive relief in any court of competent jurisdiction to protect our intellectual property rights.
15. Force Majeure
We shall not be liable for any failure or delay in performance under these Terms due to causes beyond our reasonable control, including but not limited to acts of nature, war, terrorism, strikes, government actions, and internet or telecommunications outages,

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
17. Entire Agreement
These Terms, together with any policies or guidelines incorporated herein, constitute the entire agreement between you and CHECK-IN-APP IO LLC with respect to the Service and supersede all prior or contemporaneous communications, whether electronic, oral, or written, between you and us.
18. Not a Healthcare Provider
CHECK-IN-APP IO LLC is a technology company and is not a healthcare provider, covered entity, medical practice, or clinical service. The Service does not provide medical advice, treatment, diagnoses, or any form of clinical support. CHECK-IN-APP IO LLC does not have access to, and does not store, any patient records, appointment details, clinical notes, or any other health-related information. Any decisions made by providers or patients based on use of the Service are solely the responsibility of those parties.
19. Acceptable Use Policy
You agree to use the Service solely as a notification-trigger tool for client arrival alerts. You agree not to use any feature of the Service — including but not limited to account fields, QR code labels, or any free-text inputs — to request, collect, transmit, or store Protected Health Information (PHI), including but not limited to patient names, diagnoses, treatment information, insurance details, or any other individually identifiable health information as defined under HIPAA. Any use of the Service in violation of this policy may result in immediate termination of your account.
